FWIW - I think it is ridiculous that putting shares into a blind trust gets round it.
But I would say that by the letter of the law it would be hard to argue that holding over 40% of the shares (and being the largest single shareholder), sitting on the board and having voting rights doesn't constitute being involved in the management (at the cut off date)
